Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of webguynick.com (the “Site”) and any services provided by Web Guy Nick LLC (“Web Guy Nick,” “we,” “us,” or “our”). By using the Site or engaging our services you agree to these Terms.

1. Use of the Site

You may use the Site for lawful purposes only. You agree not to (a) interfere with the Site's operation or security, (b) attempt to access accounts or data not your own, or (c) reproduce, scrape, or republish substantial portions of the Site without written permission.

2. Intellectual Property

All content on the Site, including text, graphics, logos, articles, reviews, and code, is owned by Web Guy Nick LLC or its licensors and is protected by U.S. and international intellectual property law. You are granted a limited, non-exclusive, revocable license to view and share content for personal, non-commercial purposes.

3. Services

Any services provided by Web Guy Nick LLC (design, development, hosting coordination, maintenance, SEO, or consulting) are governed by the written scope-of-work or statement-of-work executed between Web Guy Nick LLC and the client. In the event of a conflict between these Terms and a signed client agreement, the signed client agreement controls.

4. Payment

Fees, deposits, milestones, and refund policies are set out in the applicable scope-of-work. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

5. Third-Party Links and Affiliates

The Site contains links to third-party websites, including affiliate links to link.me/webguynick and Amazon.com via our Amazon Associates tag webguynick-20. We are not responsible for the content, policies, or practices of third-party sites. Purchases made through affiliate links may result in a commission to us at no additional cost to you. 6. Disclaimer of Warranties

THE SITE AND ANY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant the Site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB GUY NICK LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SITE OR ANY CONTENT. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), OR, FOR CLIENTS, THE AMOUNT PAID TO WEB GUY NICK LLC IN THE PRIOR SIX (6) MONTHS UNDER THE RELEVANT SCOPE-OF-WORK.

8. Indemnification

You agree to defend, indemnify, and hold harmless Web Guy Nick LLC and its owners, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party right.

9. Governing Law and Venue

These Terms are governed by the laws of the State of California, U.S.A., without regard to conflict-of-laws rules. Exclusive venue for any dispute shall be the state or federal courts located in San Bernardino County, California, and you consent to personal jurisdiction there.

10. Changes

We may update these Terms at any time. Continued use of the Site after changes constitutes acceptance.
